This Rancher Agreement ("Agreement") is entered into between Farm To You ("Farm To You," "we," "us," or "our") and the approved selling business identified during registration ("Rancher," "Vendor," "you," or "your"). By accepting this Agreement or listing products through the marketplace, the Rancher agrees to the following terms.
1. Approval to sell
A Rancher may list or sell products through Farm To You only after Farm To You approves the Rancher's application, documentation, and storefront. Approval may be conditioned on the Rancher providing business and ownership information, tax and banking information, food-production and processing licenses, inspection records and food-safety documentation, product-liability and commercial insurance, processing-facility information, shipping and fulfillment procedures, and any other information reasonably required by Farm To You. Approval is nonexclusive, nontransferable, and does not guarantee any minimum sales, order volume, placement, or revenue. Farm To You may approve, reject, restrict, suspend, or revoke a Rancher's selling privileges in accordance with this Agreement.
2. Independent marketplace relationship
The Rancher is the seller of record for products offered through its storefront unless the parties expressly agree otherwise in writing. The Rancher retains title to and responsibility for its inventory until title and risk of loss pass under applicable law and the Rancher's disclosed shipping terms. The Rancher is an independent business and is not an employee, agent, franchisee, partner, joint venturer, or legal representative of Farm To You. Farm To You provides marketplace, technology, payment-facilitation, marketing, and administrative services and does not own, process, package, store, or physically fulfill Rancher products unless separately agreed in writing.
3. Rancher responsibilities
- Maintaining accurate inventory, availability, pricing, and product descriptions
- Ensuring all product photographs and marketing claims are truthful and supportable
- Processing, preparing, storing, packaging, and shipping products safely
- Fulfilling orders within the processing and shipping windows displayed to customers
- Providing valid tracking information for every shipment
- Monitoring deliveries and responding promptly to shipment problems
- Maintaining appropriate customer-service and fulfillment standards
- Paying all costs associated with producing and fulfilling its products
- Keeping its contact, banking, tax, licensing, and insurance information current
The Rancher may not substitute products, materially alter an order, or communicate additional charges to a customer without authorization.
4. Food safety and legal compliance
The Rancher represents and warrants that all products listed through Farm To You are lawful, safe, unadulterated, accurately labeled, and fit for their intended purpose. The Rancher must comply with all applicable federal, state, and local requirements governing slaughter, processing, production, and handling; facility inspections and licensing; food-safety plans; seafood HACCP requirements where applicable; storage and temperature controls; packaging and cold-chain shipment; ingredients and allergen disclosures; labeling, weights, measures, and inspection marks; advertising and product-origin claims; product traceability, withdrawal, and recall; and the sale and shipment of restricted products. The Rancher must also comply with Farm To You's Food Safety and Quality Standards, as updated periodically.
5. Documentation and audits
The Rancher must maintain complete, accurate, and current documentation supporting its compliance with this Agreement, including licenses and permits, inspection and processing records, HACCP or other food-safety plans, insurance certificates, facility and processor information, product labels and claim substantiation, temperature/fulfillment/shipping records, and complaint and recall records. Farm To You may request or review documentation at onboarding or at any time afterward. Farm To You's review does not relieve the Rancher of its legal or contractual responsibilities.
6. Product listings and marketing claims
The Rancher is responsible for all information submitted to Farm To You, including product names, descriptions, photographs, prices, weights, quantities, ingredients, allergen information, production practices, and delivery estimates. Claims involving matters such as organic status, grass feeding, breed, origin, humane treatment, sustainability, antibiotic use, hormone use, or regenerative practices must be accurate and supported by appropriate records or certifications. Farm To You may edit formatting, request substantiation, reject content, or remove any listing it reasonably believes is inaccurate, misleading, unsafe, unlawful, or inconsistent with marketplace standards.
7. Inventory and pricing
The Rancher will maintain accurate inventory and promptly update unavailable products. Unless otherwise agreed, the Rancher establishes its product prices; prices shown to customers must include all required product-level charges other than separately disclosed taxes and shipping; the Rancher may not impose undisclosed fees after an order is placed; and confirmed orders must be honored at the accepted price except in the case of an obvious error or suspected fraud.
8. Order processing and fulfillment
- Confirm inventory availability
- Package the products appropriately
- Ship within the disclosed fulfillment window
- Use a suitable delivery service
- Upload accurate tracking information
- Follow applicable cold-chain and food-safety procedures
- Retain fulfillment and shipment records
- Notify Farm To You promptly of anticipated delays or problems
The Rancher may not include unauthorized promotional materials intended to divert customers away from Farm To You or circumvent marketplace fees.
9. Shipping and risk
The Rancher is responsible for selecting appropriate packaging, carriers, service levels, and transit windows. Unless Farm To You expressly agrees otherwise, the Rancher bears responsibility for packaging and shipping expenses, product loss or damage before delivery, carrier claims, improper temperature control, delayed or failed fulfillment, incorrect or incomplete shipments, and replacement shipments resulting from Rancher error. The Rancher must comply with the Farm To You Shipping Policy and any additional shipping standards communicated through the Rancher Dashboard.
10. Cancellations, returns, and customer remedies
The Rancher must comply with the Farm To You Refund and Cancellation Policy. When a customer reports a damaged, improperly thawed, incorrect, incomplete, unsafe, or materially misrepresented order, the Rancher must respond within the timeframe required by Farm To You. Farm To You may determine that an appropriate customer remedy includes a replacement, marketplace credit, partial refund, full refund, or reimbursement of shipping charges. If the issue resulted from the Rancher's product, listing, packaging, handling, or fulfillment, Farm To You may deduct the applicable cost from current or future Rancher payouts.
11. Commission and marketplace fees
Farm To You earns a commission on each completed marketplace sale. The applicable commission rate will be displayed in the Rancher Dashboard or established through a separate written fee schedule. Standard commission rates range from 20% to 25%, although negotiated rates may apply. Farm To You may also deduct payment-processing fees, refunds and credits, chargebacks and dispute fees, Rancher-funded promotional amounts, shipping adjustments, taxes or required withholding, penalties or reimbursement obligations, and other disclosed fees. Commission rates and other material fees will not be changed retroactively for completed transactions.
12. Payment processing and payouts
Farm To You or its payment provider will collect customer payments and remit eligible proceeds to the Rancher, less applicable commissions, fees, refunds, reserves, and adjustments. Payouts will be released after the hold period stated in the Rancher Dashboard, generally measured from shipment or confirmed delivery. Payouts may be delayed, withheld, offset, or reversed when reasonably necessary to address refunds or cancellations, customer disputes or chargebacks, suspected fraud, food-safety concerns, unfulfilled or delayed orders, negative account balances, violations of this Agreement, legal or regulatory requirements, or reasonably anticipated liabilities. Farm To You may establish a reasonable reserve based on the Rancher's sales history, complaint rate, chargeback exposure, product risk, or account status.
13. Taxes
The Rancher is responsible for its own income, payroll, employment, franchise, and business taxes. Farm To You may calculate, collect, report, and remit transaction taxes when required by applicable marketplace-facilitator laws. The Rancher remains responsible for taxes not collected or remitted by Farm To You and must provide accurate tax information and any required taxpayer-certification forms.
14. Insurance
The Rancher must maintain insurance appropriate for its operations and products, including commercial general liability and product-liability coverage, and must provide proof of coverage upon request and immediately notify Farm To You of any lapse, cancellation, or material reduction in coverage.
15. Recalls and safety incidents
The Rancher must immediately notify Farm To You of an actual or suspected product contamination, a foodborne-illness complaint, a government inquiry or inspection failure, a product withdrawal or recall, an incorrect allergen or ingredient disclosure, suspension or revocation of a required license, or any other event that may create a safety risk. The Rancher must cooperate fully with traceability, investigation, customer notification, withdrawal, refund, and recall efforts. Farm To You may remove affected listings, suspend sales, contact customers, withhold payouts, and notify authorities where required. Unless caused by Farm To You's own wrongful conduct, the Rancher is responsible for reasonable costs arising from a recall or safety incident involving its products.
16. Customer information and privacy
Ranchers may use customer information only as necessary to fulfill orders, provide authorized support, comply with legal obligations, or perform another purpose expressly authorized by Farm To You and the customer. Ranchers may not sell customer information, use it for unauthorized marketing, add customers to outside mailing lists without legally valid consent, disclose it to unnecessary third parties, retain it longer than reasonably necessary, or use it to circumvent the marketplace. The Rancher must maintain reasonable safeguards and promptly report any actual or suspected data breach involving marketplace information.
17. Intellectual property and content license
The Rancher retains ownership of its business name, logos, photographs, videos, descriptions, and other submitted content, and grants Farm To You a nonexclusive, worldwide, royalty-free, sublicensable license to host, reproduce, modify for formatting, display, distribute, advertise, and otherwise use that content to operate and promote the marketplace and the Rancher's products. The Rancher represents that it owns or has permission to use all submitted content. Farm To You retains ownership of its platform, software, branding, design, marketplace data, and proprietary materials.
18. Farm To You approval badge
Farm To You may authorize an approved Rancher to display a Farm To You approval badge subject to applicable brand guidelines. The badge represents a private marketplace designation, is not a government certification or endorsement, may not be altered or used outside the authorized context, and must be removed immediately upon request or termination.
19. Customer communications and non-circumvention
Ranchers may communicate with customers through approved marketplace channels for order fulfillment and customer support. The Rancher may not use customer information obtained through Farm To You to divert, solicit, or complete marketplace-initiated transactions outside the platform for the purpose of avoiding commissions or fees.
20. Representations and warranties
- It is legally authorized to enter into this Agreement
- Its business information is accurate and complete
- It holds all licenses, permits, approvals, and insurance required for its operations
- Its products comply with applicable laws and marketplace standards
- Its products and content do not violate third-party rights
- It will not engage in deceptive, fraudulent, or unlawful conduct
- It will perform its obligations professionally and in good faith
21. Indemnification
To the fullest extent permitted by law, the Rancher will defend, indemnify, and hold harmless Farm To You and its owners, affiliates, officers, employees, and service providers from claims, losses, liabilities, penalties, recalls, damages, and reasonable expenses arising from the Rancher's products or operations, foodborne illness, contamination, mislabeling, or allergens, product recalls or regulatory violations, the Rancher's content or marketing claims, fulfillment/packaging/shipping failures, misuse of customer information, breach of this Agreement, or the Rancher's negligence, misconduct, or violation of law.
22. Limitation of liability
To the fullest extent permitted by law, Farm To You will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits or lost business opportunities.
23. Suspension
Farm To You may immediately restrict or suspend a Rancher's account, listings, orders, or payouts when reasonably necessary to investigate or address food-safety concerns, customer harm, fraud or suspicious activity, excessive complaints, cancellations, or chargebacks, invalid or expired documentation, failure to fulfill orders, misuse of customer information, or violation of this Agreement or applicable law. Farm To You will provide notice when reasonably practicable and may require corrective action before reinstatement.
24. Term and termination
This Agreement begins when accepted by the Rancher and continues until terminated. Either party may terminate by providing written notice. Farm To You may terminate immediately for a material breach, safety threat, fraud, unlawful conduct, repeated fulfillment failures, or conduct reasonably likely to harm customers or the marketplace. Upon termination, the Rancher must fulfill or properly cancel outstanding orders as directed, Farm To You may remove the Rancher's storefront and listings, authorized use of Farm To You branding must stop, outstanding amounts may be withheld until refunds/disputes/obligations are resolved, and eligible remaining payouts will be released according to the applicable payout schedule.
25. Changes to this Agreement
Farm To You may update this Agreement or incorporated policies by providing notice through the Rancher Dashboard, email, or another reasonable method. Material changes will apply prospectively after the stated effective date. Continued marketplace participation after that date constitutes acceptance to the extent permitted by law.
26. Governing law and dispute resolution
This Agreement is governed by the laws of the State of Florida. The parties submit to the jurisdiction and venue of the state and federal courts located in Hillsborough County, Florida.
